It is registered with the Lille Métropole Trade and Companies Register (RCS) under number 948 525 175 (SIRET 948 525 175 00022). Its intra-community VAT number is FR27948525175.
Hereinafter "Rue du Dentaire" or "the Seller". The professional placing an order is hereinafter referred to as "the Customer".
Mixingtip.com customer service: info@mixingtip.com or the website contact form.
Article 2 – Scope and Acceptance
2.1 These General Terms and Conditions of Sale (the "Terms") apply to all sales of products concluded by Rue du Dentaire under the Mixingtip.com trade name, regardless of the ordering channel: the https://mixingtip.com website or email.
2.2 On the website, the Customer accepts these Terms by ticking the box provided for this purpose before confirming the order. For an order placed by email, placing the order constitutes acceptance of these Terms. The Terms are permanently available on the website and may be saved or printed.
2.3 These Terms prevail over the Customer's general terms and conditions of purchase or any other Customer document, unless Rue du Dentaire has given its prior written agreement.
2.4 Rue du Dentaire may amend these Terms at any time. The applicable Terms are those in force on the date of the order.
Article 3 – Professional Customers Only
3.1 Sales are reserved for healthcare and dental professionals acting for the purposes of their professional activity: dental surgeons, dental technicians, laboratories, health centres, public and private healthcare institutions, schools and training organisations, as well as resellers in the sector. Sales to private individuals are prohibited.
3.2 Rue du Dentaire verifies the Customer's professional status based on the information provided (name, address, establishment). It may at any time request supporting documents, in particular a professional registration number, a company registration extract or an intra-community VAT number, before validating an account or an order.
3.3 Any order placed by a private individual, or by a Customer who fails to prove their professional status within the specified time limit, will be cancelled. Any amounts paid will be refunded within 20 business days of the cancellation notice.
3.4 The Customer guarantees the accuracy of the information provided, in particular its intra-community VAT number, and undertakes to keep it up to date.
Article 4 – Products
4.1 Description. Rue du Dentaire sells dental consumables and equipment. Their essential characteristics are set out in the product sheets. Photos and illustrations are not contractually binding, and packaging may change at the manufacturer's discretion.
4.2 Medical devices. Products falling under medical device regulations bear the CE marking in accordance with Regulation (EU) 2017/745. Rue du Dentaire acts as a distributor and, for products originating from outside the European Union, as an importer. The manufacturer is the one identified on the product labelling, including for products sold under the Mixingtip.com brand.
4.3 Compliance in the country of destination. Before placing any order, the Customer is responsible for checking that the products may be imported, marketed and used in its country, in particular under local medical device regulations (registration, authorisation, labelling). Rue du Dentaire cannot be held liable for any refusal of import or inability to use the products resulting from the regulations of the country of destination.
4.4 Customer's obligations. The Customer is solely responsible for the choice of products and their suitability for its needs. As a professional, the Customer checks before any use the instructions for use, indications, contraindications, precautions, storage conditions and expiry dates, and complies with them.
4.5 Traceability and vigilance. The Customer keeps the product traceability information (reference, batch number). It reports without delay to Rue du Dentaire, and where applicable to the competent authority of its country, any incident or risk of incident involving a medical device.
4.6 Availability. Offers are valid while stocks last. If a product becomes unavailable after the order, Rue du Dentaire informs the Customer and offers a new delivery time, an equivalent product or a refund of the unavailable product.
4.7 Rue du Dentaire may change its product range at any time without notice.
Article 5 – Orders
5.1 Channels. Orders may be placed on the Mixingtip.com website or by email to info@mixingtip.com.
5.2 Website orders. The Customer selects the products, logs in or creates an account, chooses the delivery and payment methods, checks the order summary, accepts these Terms and then confirms the order. Rue du Dentaire sends an email confirmation summarising the order.
5.3 Email orders. Orders placed by email are confirmed in writing by Rue du Dentaire, by email.
5.4 Quotations. Unless otherwise stated, quotations are valid for 30 days from their date of issue.
5.5 Minimum order. No minimum order amount is required.
5.6 Changes. Any change to a confirmed order requires the prior written agreement of Rue du Dentaire and may result in a change to the price and delivery time.
5.7 Cancellation. The Customer may cancel its order free of charge by email to info@mixingtip.com or via the website contact form. The cancellation is accepted if, when Rue du Dentaire processes the request, the carrier's shipping label has not yet been issued. Any amounts paid are then refunded using the original payment method within 5 business days. Once the shipping label has been issued, the order can no longer be cancelled and the return procedure set out in Article 12 applies.
5.8 Refusal of orders. Rue du Dentaire may refuse or cancel an order for legitimate reasons, in particular: Customer not being a professional, invalid VAT number, previous payment dispute, abnormal order, product unavailability, destination not served or obvious pricing error.
5.9 Evidence. Data recorded by Rue du Dentaire's IT systems constitutes proof of orders and of exchanges with the Customer. Orders and invoices are archived on a reliable and secure medium.
Article 6 – Prices and VAT
6.1 Prices. Prices are displayed on the website in euros excluding VAT, and excluding delivery charges unless otherwise stated. Any applicable VAT is calculated during the ordering process, according to the country of delivery and the Customer's status, and is detailed on the invoice.
6.2 Deliveries within the European Union. VAT of the country of delivery is applied at the rate in force. However, if the Customer is registered for VAT and provides a valid intra-community VAT number, verified by Rue du Dentaire, the sale is invoiced excluding VAT, with VAT being payable by the Customer under the reverse-charge mechanism.
6.3 Deliveries to the United Kingdom and Switzerland. Sales are invoiced excluding French VAT. Import VAT, customs duties and customs clearance fees are payable by the Customer, in accordance with Article 8.4.
6.4 The applicable price is the one displayed when the order is confirmed, or the one stated in an accepted quotation within its period of validity. Rue du Dentaire may change its prices at any time; new prices do not apply to orders already confirmed.
6.5 In the event of an obvious pricing error (a price that is derisory or bears no relation to the value of the product), Rue du Dentaire may cancel the order concerned. It informs the Customer and refunds any amounts paid.
6.6 Any currency conversion fees charged by the Customer's bank or payment provider are payable by the Customer.
Article 7 – Discounts, Promotions and Benefits
7.1 Permanent discounts. A discount is applied automatically depending on the order amount:
- 5% from €500 excl. VAT;
- 10% from €1,000 excl. VAT;
- 15% from €1,500 excl. VAT.
These amounts are calculated excluding VAT and delivery charges.
The amount taken into account to reach a threshold includes all products in the basket, including those in the Equipment category. The discount is then applied to all products except those in the Equipment category.
Example: a basket containing €400 excl. VAT of consumables and €700 excl. VAT of equipment, i.e. €1,100 excl. VAT, reaches the 10% threshold. The 10% discount applies to the €400 of consumables, i.e. a €40 discount excl. VAT.
7.2 No combination. During commercial operations, in particular the "Anniversary Offers", the "15 Golden Days" or any other promotional operation announced on the website, permanent discounts are deactivated and cannot be combined with the current offer.
7.3 Promotional codes. Unless otherwise stated when issued, promotional codes may be used only once per customer account, cannot be combined with one another and cannot be exchanged for cash.
7.4 Duration of offers. Each offer is valid for the period indicated on its medium (website, email, catalogue, advertisement) and while stocks last.
7.5 Manufacturer free goods. Products offered free of charge by a manufacturer as part of a free-goods offer are shipped within an average of 30 days after full payment of the order concerned. Their availability and shipping time depend on the manufacturer. Rue du Dentaire passes on the offer but does not guarantee the shipping time or the availability of these products.
7.6 Statement on invoice. Free products appear on the invoice either at a price of €0 or at their value deducted from the order amount. The Customer is responsible, where applicable, for the accounting treatment and tax declaration of any free product, credit note or commercial benefit.
Article 8 – Delivery
8.1 Delivery area. Mixingtip.com delivers to European Union countries (excluding France), the United Kingdom and Switzerland. Deliveries to mainland France, Monaco and the French overseas territories are handled by the www.embout.fr website.
8.2 Carriers and charges. Orders are shipped by GLS or Colissimo, depending on the country of delivery. The Customer chooses its delivery method from the options offered during the ordering process; depending on the destination, only one option may be available. Delivery charges depend on the destination and are shown during the ordering process, before the order is confirmed.
8.3 Shipping and delivery times. Subject to product availability and workload, an order placed on a business day before 1:00 p.m. (Paris time) may be shipped the same day, without this being guaranteed. For payment by bank transfer, the order is shipped once payment has been received (Article 10.3). The indicative delivery time is 3 to 4 business days after the order.
8.4 Incoterm and customs formalities. Deliveries are made under the DAP Incoterm (Delivered At Place, Incoterms® 2020) at the delivery address specified by the Customer. For deliveries to the United Kingdom and Switzerland, customs duties, import VAT, customs clearance fees and any other import taxes are payable by the Customer. If a parcel is refused or held at customs because the Customer has not paid these amounts, the return, storage and re-shipping costs are also payable by the Customer.
8.5 Delivery times. Delivery times are indicative. A delay cannot give rise to any penalty, compensation or cancellation of the order. However, if an order has not been shipped within 30 days of its confirmation (excluding specially ordered products and manufacturer free goods), the Customer may cancel it and obtain a refund of the amounts paid.
8.6 Receipt and reservations. Upon delivery, the Customer checks the condition and number of parcels in the presence of the carrier. In the event of damage or missing items, the Customer records precise and detailed reservations on the carrier's delivery note; the mention "subject to unpacking" has no value. The Customer confirms these reservations to the carrier in writing within 3 days of delivery, excluding public holidays, and informs Rue du Dentaire within the same period. Failing this, no claim may be made for damage or missing items.
8.7 Errors or defects found on unpacking. A picking error or apparent defect must be reported within 7 days of delivery, in accordance with Article 12.5.
8.8 Absence or incorrect address. If a parcel is returned to Rue du Dentaire because of the Customer's absence, an unjustified refusal or an incorrect address, the re-shipping costs are payable by the Customer.
Article 9 – Transfer of Risk
In accordance with the DAP Incoterm, the risk of loss of or damage to the products passes to the Customer upon delivery at the place specified by the Customer, before unloading. The Customer must record the reservations provided for in Article 8.6 so that Rue du Dentaire can exercise its rights against the carrier.
Article 10 – Payment
10.1 Payment methods. Rue du Dentaire accepts: bank card, American Express, PayPal and bank transfer.
10.2 Payment upon order. The price is payable in full upon ordering, in euros, with no discount for early payment. Card and PayPal payments are debited when the order is confirmed and are secured by specialised providers; Rue du Dentaire has no access to the Customer's bank details.
10.3 Bank transfer. The order is prepared and the products are reserved as soon as the order is registered. The order is shipped upon receipt of payment. Bank transfers must quote the order number. Bank charges, in particular for international transfers, are payable by the Customer: the amount received by Rue du Dentaire must match the invoice amount. If payment is not received within 10 days of the order, the order is cancelled and the products are returned to stock.
10.4 Late payment. Any amount not paid by its due date automatically gives rise, from the day after the due date and without prior reminder, to:
- late-payment penalties at a rate of three times the French statutory interest rate in force;
- a fixed fee of €40 for recovery costs (Articles L441-10 and D441-5 of the French Commercial Code);
- additional compensation, upon presentation of supporting documents, if the recovery costs incurred exceed this amount.
10.5 Consequences of non-payment. In the event of non-payment, Rue du Dentaire may, after a formal notice that remains unanswered, suspend current orders and deliveries, require payment before any further shipment and declare all amounts owed immediately due. Where a payment schedule has been granted, a single missed payment makes the entire outstanding balance immediately due.
10.6 Set-off. The Customer may not make any set-off or deduction from invoices without the prior written agreement of Rue du Dentaire.
Article 11 – Retention of Title
11.1 Rue du Dentaire retains ownership of the products sold until full payment of the price, including costs and ancillary charges (Articles 2367 et seq. of the French Civil Code). This clause does not affect the transfer of risk provided for in Article 9.
11.2 Until full payment, the Customer takes proper care of the products, keeps them identifiable and immediately informs Rue du Dentaire of any seizure or claim by a third party.
11.3 In the event of non-payment, Rue du Dentaire may reclaim the unpaid products. The costs of recovery are payable by the Customer.
Article 12 – Returns
12.1 Return request. The Customer may request the return of a product within 14 days of receipt, by email (info@mixingtip.com) or via the website contact form. No return is accepted without the prior written agreement of Rue du Dentaire.
12.2 Conditions. The returned product must be new, intact, unopened, unsealed and unused, in its original packaging, and fit for resale as is. A copy of the invoice must be enclosed in the parcel. Any return that does not meet these conditions will be refused.
12.3 Excluded products. The following products cannot be returned:
- any product that has been opened, unsealed or used, whatever its nature;
- any product specially ordered at the Customer's request, even if intact.
12.4 Costs and refund. No handling fee is charged for an accepted return. The costs and risks of return transport are borne by the Customer, as are, for returns from the United Kingdom or Switzerland, export customs formalities and fees. After receipt and inspection of the product, Rue du Dentaire refunds its price, without any deduction, excluding the initial delivery charges, using the payment method used for the order.
12.5 Picking error or defective product. The Customer reports any picking error or apparent defect within 7 days of delivery, by email or contact form, stating the order number and, where possible, attaching photos. Where the error or defect is attributable to Rue du Dentaire, it arranges and pays for the return of the product concerned, whatever the country of delivery. It replaces the product or, if the product is no longer available, refunds its price.
Article 13 – Warranties
13.1 Warranty against latent defects. The Customer benefits from the statutory warranty against latent defects (Articles 1641 et seq. of the French Civil Code). The Customer informs Rue du Dentaire as soon as the defect is discovered, describing it and providing any useful supporting evidence. Once the defect has been confirmed in conjunction with the product manufacturer, Rue du Dentaire replaces or refunds the product.
13.2 Equipment warranty. Equipment is covered by a warranty of at least one year from delivery, or the longer period provided by the manufacturer. This warranty is granted and managed by the manufacturer, under its own conditions. Some manufacturers require installation, or verification of the installation, by themselves in order to activate the warranty.
13.3 Role of Rue du Dentaire. Rue du Dentaire acts as an intermediary between the Customer and the manufacturer, during and after the warranty period. During the warranty period, it covers the cost of shipping faulty products to the manufacturer and returning them to the Customer. After the warranty period, all costs (diagnosis, repair, transport, customs fees) are payable by the Customer.
13.4 Exclusions. The equipment warranty does not cover, in particular: normal wear and tear, wearing parts (rotating parts, bulbs, fuses, enamel and coatings), use not in accordance with the instructions, lack of maintenance, accidents or any intervention not authorised by the manufacturer.
Article 14 – Liability
14.1 The Customer is solely responsible for the use of the products, in accordance with their intended purpose, their instructions for use, the rules of its profession and the regulations of its country.
14.2 If Rue du Dentaire is held liable, its liability is limited to the price of the products directly giving rise to the damage. Rue du Dentaire is not liable for indirect or consequential damage, in particular loss of business, loss of revenue or damage to reputation.
14.3 These limitations do not apply in the event of gross negligence or wilful misconduct, nor to personal injury covered by product liability for defective products (Articles 1245 et seq. of the French Civil Code).
Article 15 – Force Majeure
Neither party shall be liable for any failure caused by an event of force majeure within the meaning of Article 1218 of the French Civil Code. Performance is suspended for as long as the impediment is temporary. If the impediment is permanent or lasts more than 30 days, either party may terminate the order in writing; amounts paid for products not delivered are then refunded.
Article 16 – Intellectual Property
The Embout.fr and Mixingtip.com trademarks, as well as the content of the website and catalogues (texts, photos, visuals, logos), are the property of Rue du Dentaire or its partners. Any reproduction or use, including by a reseller, is prohibited without prior written authorisation. Use of the website is governed by the Website Terms of Use.
Article 17 – Personal Data
Rue du Dentaire processes the Customer's personal data, as data controller, in accordance with Regulation (EU) 2016/679 (GDPR), for the purposes of account and order management, customer relations and business-to-business marketing. The Customer has the right of access, rectification, erasure, restriction, objection and data portability, which may be exercised by writing to info@mixingtip.com. The Customer may lodge a complaint with the CNIL (French data protection authority) or with the data protection authority of its country. Details of the processing are set out in the website's Privacy Policy.
Article 18 – General Provisions
18.1 Contractual documents. The relationship between the parties is governed, in descending order of priority, by the order confirmation or accepted quotation, these Terms, and then the Legal Notice and the Website Terms of Use.
18.2 No waiver. Any failure by Rue du Dentaire to enforce a breach by the Customer shall not constitute a waiver of its right to do so subsequently.
18.3 Severability. If any provision of these Terms is held to be void or unenforceable, the remaining provisions shall remain in force.
18.4 Language. These Terms are drafted in French and translated into English and Dutch for information purposes. In the event of any discrepancy or dispute, only the French version shall prevail.
Article 19 – Governing Law and Disputes
19.1 These Terms and the sales they govern are subject to French law, excluding the United Nations Convention on Contracts for the International Sale of Goods (Vienna Convention).
19.2 In the event of a dispute, the parties shall first seek an amicable solution; the Customer sends its complaint to info@mixingtip.com.
19.3 Failing agreement, any dispute relating to the validity, interpretation or performance of these Terms and of the sales shall be subject to the exclusive jurisdiction of the courts within the jurisdiction of Lille (France), including in the event of multiple defendants, third-party claims or summary proceedings. This clause applies subject to the mandatory rules of jurisdiction applicable to public entities.
